<p dir="ltr">Trade sales, where a larger company acquires the startup, seem to be by far the most common exit route in the UK, often to a US or European buyer. IPOs come up much less often, and there is ongoing debate about whether London is competitive enough as a listing venue for high growth tech companies. Secondary sales, where founders or early investors sell part of their stake to a new investor without the company being sold outright, also seem to be growing.

<p dir="ltr">What founders receive appears to depend heavily on the terms agreed in earlier funding rounds. Liquidation preferences mean investors often get paid first, sometimes at a multiple of their investment, before ordinary shareholders see anything, so a modest exit can leave founders with far less than the headline price suggests. Earn outs, where part of the price depends on hitting targets after the sale, and tax treatment such as Business Asset Disposal Relief, can also change the real outcome significantly.

<p dir="ltr">My question is how founders should think about exit planning early on, and whether it is realistic to plan for a particular type of exit or whether most exits are opportunistic and arrive unexpectedly through an inbound approach.
